NEC to Acquire CSG Systems for $2.89 Billion to Boost Global SaaS and AI Capabilities

NEC Corporation, Japan’s leading technology and digital transformation company, has announced the acquisition of CSG Systems International in an all-cash deal worth $2.89 billion, signaling a major expansion of its global SaaS and AI footprint.

Under the agreement, NEC will pay $80.70 per share, representing a 17% premium over CSG’s recent closing price — a clear vote of confidence in CSG’s strong SaaS portfolio and diverse enterprise customer base.

The acquisition will enable NEC to integrate CSG’s advanced cloud-based solutions into its portfolio, accelerating innovation across telecom, finance, media, healthcare, and retail sectors. Leveraging Netcracker, NEC’s subsidiary specializing in Business and Operational Support Systems, the deal will enhance digital service offerings for global communications providers.

Both companies’ boards have unanimously approved the transaction, expected to close in 2026, pending shareholder and regulatory approvals. The purchase will be funded through NEC’s cash reserves and new borrowing, with CSG becoming a wholly owned subsidiary.

This strategic move positions NEC at the forefront of SaaS, AI, and cloud-infrastructure innovation, reinforcing its competitive edge in an era of rapid digital transformation.
